Representative office registration in Ukraine is based on the Law of Ukraine on Foreign Economic Activities. A representative office is an office established by a company or a legal entity to conduct marketing and other non-transactional operations, which are not used for actual business (e.g. sales).
Foreign business entities, which carry out foreign economic activities in Ukraine, have the right to open their representative offices in Ukraine. Registration of these offices shall be carried out by the Ministry of Economy of Ukraine. Types of Ukrainian Representative Office
Generally, there are only two possible types of foreign representative offices in Ukraine:
(1) Non-profitable, those that do not carry on business activities, purpose of their presence is to collect information, market research and other non-commercial objectives;
(2) Permanent establishments, purpose of their presence is to carry on business activities.
Basic Information Required
For the registration of a representative office of a foreign business entity on the territory of Ukraine there shall be submitted:
(1) application form for registration of a representative office;
(2) extract from the trade (banking) register of the country, where the foreign business entity is officially registered;
(3) reference from the banking institution, where an applicant’s account is officially kept;
(4) power of attorney to carry out representative functions issued in accordance with the law of the country where the office of the foreign business entity is officially registered.
The above documents shall be certified by a notary at the place of issue and dully legalized in consular institutions of Ukraine, if international agreements of Ukraine do not provide to the contrary.
