Business Formation In Japan

On November 15, 2020, the fourth regional comprehensive economic partnership (RCEP) leaders' meeting was held by video. After the meeting, 10 ASEAN countries and 15 Asia Pacific countries including China, Japan, South Korea, Australia and New Zealand formally signed the regional comprehensive economic partnership (RCEP). With the establishment of RCEP, more and more investors are considering to setup their business in Japan to improve the company's international image and extend their international business. Here is a brief introduction to the latest basic requirements for Japanese company registration:
 

1. Company Name: The name of Japan based company generally ends with Co., Ltd. Japanese companies are free to choose their names in Chinese, Japanese and English, regardless of the size of the company's capital.
 

2. Business scope: There is no very strict limit on the business scope.For example,for an Import and export trade company in Japan, most industries can be operated.
 

3.Company's registered capital: There is no limit on the register capital, even one yen is acceptable. But suggest to register more according to your business purpose. For instance, if you want to apply for a business management visa, it is suggested to be 5 million yen or more.
 

4.Shareholder:
Either a natural person or a company can be the shareholder. The required documents are different:

A. Company as shareholder:
If the company is a shareholder, it needs registration certificate, articles of association, notarization and certification documents of the legal representative; if the shareholder structure is complex, it also needs to trace back to the ultimate controlling natural person.

B.Natural Person/ Individual as shareholder:
If an individual is a shareholder, there shall be at least one shareholder and one director; a copy of the shareholder's ID card and passport; if a director is a natural person of Chinese nationality, he/she shall print his/her name seal and apply for a notarial certificate at the local notary office; his/her address (or correspondence address) and contact number; a shareholder's personal seal and a notarial certificate in duplicate. Notarial certificate is usually notarized in the notary office of the investor’s city.
 

5. Register address of Japanese company: Either virtual or physical office can be used for the company registration. We can assist and provide the virtual address for the registration.

6. Time required for Japanese company registration: It takes around 25 working days
after receiving all the required information/ documents.
 

7. Bank Account Opening: We can assist to open a GMO online bank account if you do not have an physical office in Japan. Other types of bank account can also be available if you choose to register with an local physical office.
