Shanghai Company Setup-Relevant Documents for Identity Certificate
This include the copy of passport for individual investor, copies of business license for Legal-person investor, identification certification of legal person for legal of person investors and Two sets of original approval documents from Chinese Embassy for business license of company investors. If no original passport, approval documents by Chinese Embassy also needed.
Shanghai Company Setup-Credit Certification Issued by Bank for Each Investor
The credit certification should contain name and account number of foreign investor as well as a brief evaluation of credit standing of foreign investor.
Shanghai Company Setup-List of Management and Relevant Certificates
The list of management includes the board of directors, managers of FIEs and executive director (if without the board of director). Nomination documents for the member of board of director, supervisor, general manager and legal person with related copies of IDs or passports are also required. Besides, it also needs a one-inch picture of the legal person.

Shanghai Company Setup-Certificate of the Domicile (business site)
It includes copy of house ownership certificate, lease agreement (if rent from one company, please prepare three original sets agreements with lessor’s stamper) and Lease invoice or free-of-charge use certification.
Shanghai Company Setup-Feasibility Study Report
The feasibility study report is required for the specific project of the FIEs.
Shanghai Company Setup-List of Import and Export Products
The document is required if it’s I&E trading company and it should have corresponding custom codes.
Shanghai Company Setup-Original Audit Report of the Most Recent Year
This is needed for I&E trading company and legal-person company existing more than one year.
Shanghai Company Setup-Some Information Required
The information include the total investment amount, registered capital amount, the rate of capital contribution by each investor and the telephone number, postal code and email of the enterprise.
Shanghai Company Setup-Authorization Documents
Investors can authorize one person who is in China to sign all documents related to company foundation.
