WOFE is the abbreviation of Wholly Owned Foreign Enterprise, also known as Wholly Foreign Owned Enterprise (WFOE), is a limited liability company, the establishment of which is governed both by the Company Law of PRC and Law of the PRC on Enterprises Operating Exclusively with Foreign Capital.
I. Name of WOFE
The name of the WFOE is governed by “Regulations on the Management of name of Enterprises”. WFOE is a limited liability company, its name should be in the form of “Name of the Enterprise +Industry+ Name of City + Company Limited”. Accordingly, a company registered in Shanghai will normally bear a name like: Tannet Consulting (Shanghai) Limited.
There are certain restrictions on the use of company names
1、It should be in Chinese;
2、Arabic numerals, foreign characters or alphabets are not allowed;
3、It should not have content that contradicts national policies, damages social ethics, religions and culture;
4、It should not have content which damages fair competition and misleads the public;
5、Unless special approval is obtained, it should not contain the following restricted words: China, Chinese, National, State.“International”is a restricted word unless it is used to designate the industry in which the company is operating, e.g. ABC International Trading Company Limited.

III. Procedure of WOFE
1、Name check and registration;
2、Apply for approval certificate;
3、Apply for business license;
4、Company official stamp permission;
5、Apply for organization code license;
6、Apply for tax registration certificate;
7、Apply for foreign exchange Registration;
8、Statistics certificate;
9、Financial registration certificate;
10、Apply for import and export licenses.
IV. Required Documents of WOFE
1、Application document signed with the legal representative;
2、Document of approval by the authoritative organization;
3、Company constitution
4、Name Pre-examination Notification
5、ID document of the investors
6、ID documents of the board members, supervisors and managers
7、ID document of the legal representative
8、Certification on assessment of capital
9、Legal document of asset transfer if the fund invested is not cash
10、Domicile certificate of the company
11、The minutes of the establishment meeting;
12、Pre-approval document or certificate
13、Power of Attorney for Serving Legal Documents
14、Other documents concerned.
